Maple Leaf 2013 & Maple Leaf 2015 Oil & Gas Income Limited Partnership (“LPs”) to amalgamate into one Limited Partnership on March 3rd, 2021.

In July 2020, resolutions authorizing the liquidation, termination and dissolution for both LPs were approved by 97.5% of the votes cast by limited partners present or represented by proxy at the special meeting of limited partners.


Subsequently, the LPs were marketed for sale but due to industry conditions, there were no reasonable bids received.


Maple Leaf 2013 Oil & Gas Income Management Corp. (the “Manager”), the Manager of the above-named Partnership has announced that effective March 3rd, 2021, the assets of the Partnership will be transferred on a tax-deferred basis to the Maple Leaf 2015 Oil & Gas Income Limited Partnership (the “MLOG 2015” or “CDO151”), in exchange for units of MLOG 2015.


The benefits of this transaction are as follows:


          MLOG 2015 also holds oil & gas royalties so the combination will provide for greater operational efficiencies.

          The Manager estimates that significant operating savings will be realized in the areas of administration, filings, reporting, legal and accounting and audit.

          The combined entity will be larger and will have more revenue and assets and therefore will be more efficient. As a result, the Manager believes that the enhanced scale and efficiency will help attract a future buyer at more attractive valuations.

          MLOG 2015 intends to once again market the assets for sale when the energy sector recovers.

          The transaction is a non-taxable event.

          The transaction to CDO151 will have a trade date of March 3rd, 2021.


The current price of the LPs is directly correlated to the current weakness in the oil and gas sector, oil and gas pricing and the corresponding decreased production and cash flow attributable to the royalties.
